Nexus Capital Advises Nature’s Rule on the Sale of a Majority Stake to Alta Semper

Cairo, Egypt – January 19, 2026 – Nexus Capital is pleased to announce that it has acted as exclusive financial advisor to the shareholders of Nature’s Rule on the sale of a majority stake to Alta Semper Capital, with definitive agreements signed, subject to customary closing conditions and regulatory approvals. The acquisition is structured through an investment in Prowell Holding, Nature's Rule’s parent company.

Nexus Capital worked closely with the shareholders and management team to support the company’s transition into an investor-ready platform, refining the equity narrative and supporting management through a focused and selective partner engagement. Throughout the process, Alta Semper proved to be a strong strategic fit, sharing Nature’s Rule’s long-term vision and bringing deep sector expertise and a hands-on value-creation approach aligned with the company’s growth ambitions.

The transaction marks a significant milestone in Nature’s Rule’s evolution into a scaled, institutionalized regional platform, positioned to serve the rapidly expanding health, wellness, and sports nutrition markets across MENA and select international geographies.

Founded in 2017, Nature’s Rule operates as the Egyptian manufacturing arm of Prowell Holding, a leading UAE-headquartered sports nutrition and dietary supplements group. Nature’s Rule operates MENA’s largest fully dedicated manufacturing facility for sports nutrition products, supporting a diversified portfolio of proprietary brands and private-label offerings. The platform is underpinned by robust in-house research and development, stringent quality standards, and a highly scalable manufacturing base. The company’s proprietary brand portfolio includes flagship brand Redrex, a leading sports nutrition brand co-developed with global bodybuilding icon Big Ramy. A meaningful portion of production is exported to regional and select international markets, reflecting the company’s growing cross-border footprint and distribution capabilities.

The partnership with Alta Semper, a London-based private equity firm focused on healthcare and consumer investments across growth markets, will support the execution of a clear regional growth and value-creation strategy, including further geographic expansion across MENA, portfolio diversification into broader health and wellness categories, enhanced manufacturing utilization, and the continued institutionalization of the business through strengthened governance, management depth, and operational processes.
